Welcome to easidesi – India at a Click, an online platform with a human touch, designed for Global Indians (2.2) to access and avail various services in India from the comforts of their country of residence, through only their smart devices (including mobile phones, personal computers, laptops, tablets).
Once you click on the ‘Sign Up ’ button while registering on the mobile application or if you browse on www.easidesi.com, these Terms and Conditions (the/ these ‘Terms’ or the ‘Agreement’) shall constitute a binding legal agreement between you(the ‘USER’/ ‘you’) and Easidesi Technology Limited (‘easidesi’), a company incorporated in Dubai International Financial Centre whose registered office is at Unit GV-00-10-07-OF-02, Level 7, Gate Village Building 10, Dubai, UAE.
The Agreement governs your use of the easidesi mobile application and all of the related websites, products and services offered, including our plug-ins and browser extensions (collectively, the "easidesi platform" or "platform”), except to the extent such services or updates are accompanied by new or additional terms, in which case those different terms do not alter your or easidesi platform’s rights relating to pre-updated platform or services.
When used in these Terms, “easidesi”, “we”, “us” or “our” refers to Easidesi Technology Limited with whom you are contracting.
By accessing, signing up, signing in or browsing anywhere on the easidesi platform in any way, including browsing on www.easidesi.com, you are agreeing to these Terms in their entirety. If you do not agree to any of the Terms, you may not use the easidesi platform.
2.1 Minimum Age Requirement - You must be at least 21 (twenty-one) years of age and above to access and use the platform. Use of the easidesi platform by anyone under 21 (twenty-one) years of age is strictly prohibited.
2.2 Signing Up – To gain access to all functionalities of the easidesi platform, you are required to register and open an account with us and to create a profile on the easidesi platform (“ED Account”). The registration on the platform is achieved through a mobile number-based OTP process. It needs to be noted that users with a mobile number from India will not be able to register on the mobile application as easidesi provides services to only individuals with status of ‘Non-Resident Indians’ and/or ‘Overseas Citizens of India’ (collectively, "Global Indians") unless a Global Indian nominates a user in India as part of the annual subscription tiers.
2.3 Terms of Use
2.4 Privacy Policy - Our privacy practices are set forth in our Privacy Policy. By using the easidesi platform in any way, you understand and acknowledge that the terms of the Privacy Policy apply to you, regardless of whether you have created an ED Account on the easidesi platform or not.
2.5 Termination - You may close your ED Account at any time by going to the mobile application settings and deleting your ED Account. We may permanently or temporarily suspend your use of the easidesi platform at any time for any reason, without any notice or liability to you. We may terminate your ED Account at any time for any or no reason. Refunds, if any, shall be subject to our Refunds Policy (see 4.13)
2.6 Feedback - We welcome your feedback and suggestions about how to improve the easidesi platform. Feel free to submit feedback to support@easidesi.com. By submitting feedback in this or in any other manner to us, you grant us the right, at our discretion, to use, disclose and otherwise exploit the feedback, in whole or part, without any restriction or compensation to you.
The easidesi platform is a technology enabled services business, acting as an aggregator to connect seeking users with third party service providers, vendor partners, affiliates, suppliers, professionals, individuals (collectively, "Third-Party Services"). The easidesi platform also provides access to a marketplace (collectively, "easipicks”) which is hosted as a separate progressive web application along with links to other websites (collectively, "Third-Party Sites") offering their services and products. The availability of any Third-Party Services and Third-Party Sites on the easidesi platform does not imply our endorsement of the Third-Party Services and Third-Party Sites.
While the easidesi platform helps facilitate transactions and provides a venue for users and Third-Party Services and Third-Party Sites to negotiate and complete transactions, we do not directly provide, manufacture and/or own the services and products listed in the platform:

Easierge:
The easierge is a subscription only feature and lies at the heart of the easidesi platform
business model. The easierge is a dedicated expert whose only focus is to:
- chat and engage with the user promptly
- understand the users’ needs in India
- provide clarity on the process
- present the user with suitable options
- quote the associated price
- hand hold the user from start to finish and
- get the users work done through our empaneled network of vendor partners in India
These easierges are employed by Third-Party Services located primarily in India. The easidesi platform white labels the services offered by these Third-Party Services and connects them with users through the easidesi platform. There are multiple services or need types that are covered by the easidesi platform which are mentioned below. These are by no means exhaustive and are subject to change. The easidesi platform disclaim all liability to inform the user of any future changes in the list below:
Property, Documents, Family Care, Medical, Curated Gifting, Self-Care, Errands, Holidays, Legal, Tax, Finance, Immigration, Events, Education, Pet Care, Automotive, Moving, others
The user hereby agrees that the easidesi platform will proceed to getting the users’ work done through a network of Third-Party Services and agrees to the pricing and refund policies mentioned later in these Terms.
Provision of authorization:
Owing to the complex nature of some of these services and the nature of processes and
requirements integral to the fulfilment of these services, the user hereby authorizes the
easidesi platform and the Third-Party Services to act on the user’s behalf in order to
successfully fulfill any and all needs covered under the easierge section of the easidesi mobile
application. The easidesi platform and/or the Third-Party Services may choose to enter into a
separate agreement with the user. For example: A Letter of Authority, an email confirmation,
Power of Attorney for the easidesi platform and/or Third-Party Services to act on the user’s
behalf for the fulfillment of certain services. In the event of any conflict between this
Agreement and the terms of that separate agreement, the terms of this Agreement will control.
Easierge subscription tiers:
Once the user downloads and registers a on the easidesi platform, a three-month trial period
begins where the user gets access to the easierge. At the end of this trial period, in order to
maintain this access, the user will need to subscribe to one of our four subscription tiers.
These subscription tiers include a range of complimentary benefits across categories such as
Lifestyle, Travel, Health and Entertainment. These complimentary benefits are sourced from
Third-Parties that fall under the category of Third-Party Services defined earlier in these
Terms and are governed by separate Terms and Conditions between the user and the respective
Third-Party Services. The type and tenure of the benefits under each tier will depend on the
type of subscription tier the users subscribe to. These tiers are called:
Easierege Lite - Monthly
Easierge Basic - Yearly
Easierge Ultra - Yearly
Easierge Elite - Yearly
- Once the user pays for a subscription, it is non-refundable till the expiry of the
subscription tier
- The subscription will auto-renew unless cancelled by the user
- If the user cancels the subscription, it will get cancelled at the end of the current
subscription end date
- If the user upgrades the subscription, it will get upgraded at the end of the current
subscription end date
- Some benefits are redeemable only in India
A key benefit of subscribing to an annual subscription tier is the ability for the subscriber to nominate individuals located in India to avail the services provided by the easidesi platform.
Easipicks:
Easipicks (‘Marketplace’) is a white labeled marketplace that the easidesi platform is offering
to its users to shop on, for categories such as Travel, Gifting, Health, Electronics, Apparel,
Experiences, Philanthropy.
Easiinfo:
This is a knowledge base that has been created on the easidesi platform, consisting of concise
pieces of insights to help users understand the processes and requirements linked to relevant
topics. The information provided under easiinfo is generic in nature based on publicly available
data and should not be construed as an advice.
Easinews:
The easidesi platform has partnered with a news content provider (the "Third-Party News
provider") who is engaged in the business of creation and distribution of news
content via various formats, modes, mediums, and methods of distribution in the territory of
India and globally and owns and operates a news platform namely “Editorji”
under valid licenses and permissions from the government. We have engaged with Editorji and
procured the necessary license to use its services for business purposes (
“Purpose”) which is only to provide news content to our Global Indian customer
base.
The availability of news content from Editorji on the easidesi platform does not indicate any approval or endorsement by us of any views political or non-political in nature that are part of the news content.
Easipoints:
Easipoints (the "Rewards Program") is a native rewards program created for the
users of the easidesi platform. It is a rewards program where users can spend on the easidesi
platform, earn and save easipoints and then redeem them for their next purchase on the easidesi
platform.

1 easipoint is worth USD 0.005 or 0.5 cents

The user is provided the opportunity on the easidesi platform to purchase subscription tiers, services that are offered under the easierge section and products that are offered under the easipicks section. While the subscription tiers will be available for purchase directly by the easidesi platform, the services and products will be available for purchase directly from Third-Party Services and Third-Party Sites. If you make any purchase on the easidesi platform including from the Third-Party Services and the Third-Party Sites, you agree to these terms of sale, in addition to the Terms and Conditions, which are incorporated herein.
4.1 No Endorsement or Verification - The availability of any services and products on the easidesi platform does not imply our endorsement of the services and products. We do not represent, warrant or guarantee that the services and product descriptions are accurate, complete, reliable, current, or error-free.
4.2 Service and Product Reviews - All services and product related reviews are generated by the users and none of the reviews contain or reflect any opinions or views of the easidesi platform.
4.3 Order Acceptance and Cancellation Right -The receipt of an order number does not constitute acceptance of an order or a confirmation of an offer to sell. We reserve the right to limit the order quantity on any item and/or to refuse service to any customer for any reason. Verification of information may be required prior to the acceptance of an order. Prices and availability of services and products on the easidesi platform are subject to change. Errors will be corrected when discovered, and we reserve the right to revoke any stated offer and to correct any error, inaccuracy, or omission. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason.
4.4 Buyer Obligations - Without limiting any other provision of these Terms of Sale or the Terms and Conditions, the users are responsible for (a) reading the entire service and product listing before placing an order, and where available the terms and conditions posted by Third Party Sites; (b) maintaining correct and up to date payment, contact, and shipping information; and (c) honoring any return, refund or shipping arrangement entered into with the easidesi platform or a Third-Party Services provider and/or Third-Party Sites.
4.5 Our role -The easidesi platform facilitates payments on behalf of the Third-Party Services providers and for some product categories on the Third-Party Sites (Marketplace) and does not act as the user’s agent. On the contrary, the easidesi platform acts for the limited purpose of accepting payments for services and products from the user on behalf of the Third-Party Services providers and for some product categories on the Third-Party Sites (Marketplace). Upon the user’s payment of funds to easidesi platform, the user’s payment obligation to Third-Party Services providers and for some product categories on the Third-Party Sites (Marketplace) is complete. In the event that the easidesi platform does not remit any such amounts to Third-Party Services providers, the Third-Party Services providers will not have any recourse against the user directly.
4.6 Risk of Loss - For services and products purchased, the risk of loss and title for purchased services and products passes directly from the Third-Party Services providers and/or the Third-Party Sites to the user. The easidesi platform does not and therefore shall not transfer legal ownership of any services and products to the user.
4.7 Payment Gateway - The easidesi platform will be facilitating the payments for the purchase of subscriptions, services and products through the use of payment gateway service providers (collectively, "Third-Party Payment Gateways"), the details of which are provided below:
The easidesi platform disclaims all responsibility for the effective and secure functioning and management of the Third-Party Payment Gateways as the easidesi platform does not store and/or handle card holder data. Additionally, easidesi platform disclaims all responsibility from maintaining standards and requirements under the Payment Card Industry Data Security Standard (PCI DSS)
4.8 Additional Terms - The users’ access to or use of the payment gateways on the easidesi platform may be subject to, or require the user to accept, additional terms and conditions applicable to the Third-Party Payment Gateway provider. Additionally, the user may be charged additional fees when processing payments and easidesi platform is not responsible for any such fees and disclaims all liability in this regard.
4.9 Verification - You authorize the Third-Party Payment Gateways, directly or through third parties, to make any inquiries they consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s). The Third-Party Payment Gateways reserve the right to terminate, suspend, or limit access to their payment gateway in the event they are unable to obtain or verify any of this information.
4.10 Currency - The easidesi platform has set up the Third-Payment Gateways in the following manner:
4.11 Pricing Policy - The easidesi platform is committed to providing transparency in pricing to our users. However, due to the difference in the nature of the services that our users are seeking, there may be variations in how the price for a certain service is quoted.
Easierge transactions:
Easierge Subscription:
All payments for subscription (monthly and annual packages) will be auto-renewed unless the user
put in a request to cancel or upgrade the subscription your subscription. On doing so, the
subscription will not auto renew.
Note – Subscription once purchased will not be refunded.
Easipicks transactions:
The pricing policy of the Third-Party Services and Third-Party Sites will apply
4.12 Refund Policy - Any refund claimed by the user for purchases through the easidesi platform will be governed by the Refund Policy. Furthermore, some services may be governed by their individual refund policies. In all such cases the individual refund policy shall be applicable in addition to this policy unless and otherwise it is contrary to this, in which case the individual service refund policy shall supersede this policy:
Easierge transactions:
Payments for any services that the user may want to avail with us will be taken only once the
user chats with our easierge and agrees to proceed with the payment. If the user has second
thoughts and decides to opt out of an order after placing it, the user is free to request for a
cancellation. If the request for cancellation comes before the service is delivered, then the
user will get a refund, no questions asked.
Refunds on cancellations will be applicable as follows -
For one time service/orders:
(a) For Annual Orders: Refunds will be done after deducting a cancellation fee for services already rendered. This will be calculated on a slab rate as per the below chart:

The easidesi platform may include third party components with separate legal notices or governed by other agreements. In accordance with Article 27 (3) of DIFC Data Protection Law Number 5 of 2020; easidesi platform here by notifies the user that EasiDesi may disclose user information deemed necessary to its affiliates and partners in India as described in Disclosure of Personal Information Clause. This user information shall be for the purposes of fulfilling the tasks as requested by you.
The easidesi platform and its affiliates or its licensors reserve all rights to the mobile application, website, the contents, elements, and any information contained on this platform. You may not reproduce, copy, or redistribute artwork, design, editorial content, layout, logos, service marks, trademarks, and/or any content of this website without express written permission of an executive officer of Easidesi Technology Limited unless otherwise specified within this platform.
Except as otherwise indicated elsewhere on the easidesi platform, you may view, copy, print, contents available on this platform subject to the following conditions:
The content may be used by you solely for use in connection with the purchase & distribution of services provided by the easidesi platform and may not be disclosed to any third party without the express written consent of an executive officer of Easidesi Technology Limited The content may not be modified or altered in any manner by the user.
Any copy of the content or portion thereof must include the text of the “Copyright; Limited License” notice above.
Easidesi Technology Limited reserves the right to revoke such authorization at any time, and any such use shall be discontinued immediately upon written notice from Easidesi Technology Limited.
EASIDESI TECHNOLOGY LIMITED, AND ANY SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, SUPPLIERS, LICENSORS AND PARTNERS, AND THE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES OF EACH OF THEM. EACH PROVISION BELOW APPLIES TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:
WE ARE PROVIDING YOU THE EASIDESI PLATFORM, SERVICES, INFORMATION, PRODUCTS, PRODUCT DESCRIPTIONS, AND THIRD-PARTY CONTENT ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, EASIDESI TECHNOLOGY LIMITED EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, TITLE, ACCURACY AND COMPLETENESS, UNINTERRUPTED OR ERROR-FREE SERVICE, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE.
EASIDESI TECHNOLOGY LIMITED MAKES NO PROMISES WITH RESPECT TO, AND EXPRESSLY DISCLAIM ALL LIABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR: (i) CONTENT POSTED BY ANY THIRD-PARTY ON THE EASIDESI PLATFORM, (ii) THE SERVICE AND PRODUCT DESCRIPTIONS OR PRODUCTS, (iii) THIRD-PARTY SITES AND ANY THIRD-PARTY PRODUCT OR SERVICE LISTED ON OR ACCESSIBLE TO YOU THROUGH THE PLATFORM AND (iv) THE QUALITY OR CONDUCT OF ANY THIRD-PARTY YOU ENCOUNTER IN CONNECTION WITH YOUR USE OF THE PLATFORM.
YOU AGREE THAT UNDER THE MAXIMUM EXTENT PERMITTED BY LAW, EASIDESI TECHNOLOGY LIMITED WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY. WITHOUT LIMITING THE FOREGOING, YOU AGREE THAT EASIDESI TECHNOLOGY LIMITED SPECIFICALLY WILL NOT BE LIABLE FOR (i) ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF DATA (EVEN IF EASIDESI TECHNOLOGY LIMITED HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES ARE FORESEEABLE) ARISING OUT OF AND IN ANY WAY CONNECTED WITH YOUR USE OF, OR INABILITY TO USE, THE EASIDESI PLATFROM SERVICES OR PRODUCTS OR (ii) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (A) ONE-HUNDRED DOLLARS (USD$100) OR (B) THE AMOUNTS PAID OR PAYABLE BY YOU TO EASIDESI TECHNOLOGY LIMITED IN CONNECTION WITH THE EASIDESI PLATFORM IN THE TWELVE (12) MONTH PERIOD PRECEDING THE APPLICABLE CLAIM. YOUR USE OF THE EASIDESI PLATFORM, SERVICES, PRODUCTS, INFORMATION, OR SERVICES IS AT YOUR SOLE RISK.
In addition to the above, Easidesi Technology Limited shall assess the circumstances, and propose a way forward on a case-by-case basis:
Easidesi Technology Limited shall not be liable for delay or failure in performance resulting from causes beyond Easidesi Technology Limited’s reasonable control. Unauthorized modification of any information on the easidesi platform may result in criminal prosecution. When using the easidesi platform for any purpose, you agree not to hold Easidesi Technology Limited liable for damage (if any) resulting from hacking attacks.
The easidesi platform maybe used by you to request and schedule services with third party providers, but you agree that Easidesi Technology Limited has no responsibility or liability to you related to any services provided to you by third party providers other than as expressly set forth in these terms. The limitations and disclaimer in this section do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable law.
You agree to fully indemnify, defend, and hold Easidesi Technology Limited and their directors, officers, employees, consultants, and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees and fees for court/ tribunal proceedings), and other expenses that arise directly or indirectly out of or from: (a) your breach of any part of this Agreement, (b) any allegation that any materials you submit to us or transmit to the easidesi platform infringe or otherwise violate the copyright, patent, trademark, trade secret, or other intellectual property or other rights of any third party; (c) your activities in connection with the easidesi platform or other websites to which the easidesi platform is linked; and/or (d) your fraudulent activities on or through the platform, negligent or willful misconduct.
The trademarks, logos, and service marks ("Marks") displayed and/or listed on the easidesi platform are the property of Easidesi Technology Limited, their affiliates, or other third parties. You are not permitted to use the Marks without the prior written consent of the respective trademark owner being either easidesi (or its affiliates) or such third party, which may own the Marks. Nothing contained on the easidesi platform should be construed as granting to you or to anyone else, by implication, estoppel, or otherwise, any license or right to use any Marks displayed on the easidesi platform without the written permission of the trademark owner or such third party.
The easidesi platform is controlled by Easidesi Technology Limited from its offices within the DIFC. By accessing this platform, you agree that all matters relating to your access to, or use of, this platform shall be governed by the statutes and laws of the DIFC, without regard to the conflicts of laws and principles. Easidesi Technology Limited makes no representation that materials on this platform are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access the easidesi platform from other locations do so on their own initiative and are responsible for compliance with local laws. Your use of the easidesi platform constitutes your agreement and acceptance of these terms.
12.1 In the event of a dispute or difference, relating to, arising out of or in connection with any of the matters set out in this Agreement including any disputes and differences relating to the interpretation of the Agreement or any clause thereof (“Dispute”), the Parties to the Dispute shall engage in mediation proceedings through the business heads of both Parties, in good faith to resolve the Dispute amicably. In case the Dispute is not settled within 30 (thirty) calendar days (the “Initial Period”), it shall be referred for arbitration. Any Dispute during subsistence of the Agreement or thereafter between the parties, if not settled within the Initial Period set forth above, shall be settled by arbitration before a single arbitrator in accordance with the provisions of the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) and rules framed there under and any amendment, modification, statutory enactment thereto from time to time and shall be referred to the sole Arbitration of an Arbitrator jointly appointed by the Parties to this Agreement. It is made clear that the venue of Arbitration proceedings shall be DIAC and no objection shall be entertained from any Parties in this regard. The seat of the arbitration shall be Dubai, UAE, and the language of the arbitration shall be English. The cost of the Arbitration proceedings shall be borne equally by the Parties to this Agreement. The award of the arbitrator shall be final, conclusive and binding on the Parties.
12.2 Notwithstanding the provisions of §12.1, it is hereby agreed that easidesi, in pursuance of its rights reserved herein, shall have the right to initiate proceedings against you in any court or multiple courts of competent jurisdiction (including but not limited to the DIFC Courts) whether concurrently or not.
Subject to your compliance with these Terms, EasiDesi Technology Limited grants you a limited, non-exclusive, revocable, non-transferable license to (i) access and use the easidesi platform on your personal device solely in connection with your use of the platform; and (ii) access and use any content, information and related materials that may be made available through the platform, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by EasiDesi Technology Limited. Such license is not absolute and/or irrevocable, and EasiDesi Technology Limited reserves the rights to revoke such license at any time at its sole discretion without further liability towards you.
The easidesi platform may periodically check for updates, and download and install them for you. You agree to receive these automatic updates without any additional notice. These updates may also include amendments to the Terms and Conditions and Privacy Policy and it is incumbent upon you to be updated on the same. Should you choose not to install such updates, access to services may be limited or stopped entirely, and easidesi shall not be liable to any extent, under such circumstances.
Except strictly as may be permitted by applicable law or by the express written permission of easidesi, you shall not: (i) remove any copyright, trademark or other proprietary notices from any portion of the easidesi platform; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the easidesi platform except as expressly permitted by EasiDesi Technology Limited; (iii) decompile, reverse engineer or disassemble the easidesi platform; (iv) link to, mirror or frame any portion of the easidesi platform; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the easidesi platform or unduly burdening or hindering the operation and/or functionality of any aspect of the easidesi platform; or (vi) attempt to gain unauthorized access to or impair any aspect of the easidesi platform or its related systems or networks.
Users are responsible for obtaining the data network access necessary to use the easidesi platform. Users shall be responsible for the mobile network and all messaging rates as per the network they chose for obtaining and accessing the easidesi platform and all related hardware and software as necessary to be compatible for using the easidesi platform on a wireless enabled service platform. EasiDesi Technology Limited does not assure the performance of the easidesi platform on any specific device or hardware. All services provided by the easidesi platform maybe subject to bugs, errors, malfunctions and delays inherent in the use of the Internet and electronic communications on a routine basis.
In various instances, the easidesi platform may be linked to other websites created and managed by other companies or affiliates, whether public or private. EasiDesi Technology Limited offers these links for the user information and interests, and when you access any such websites, you are logging off from the easidesi platform, and therefore our information management policies are no longer applied there.

If we make material changes to the Terms, we will notify you through the easidesi platform, by email, or by other means, to offer you an opportunity to review the changes before they become effective. You agree that your continued use of the easidesi platform after such changes become effective constitutes your acceptance of the changes. If you do not agree with any updates to this Agreement, you may not continue to use the easidesi platform. Be sure to return to this page periodically to ensure your familiarity with the most current version of the Terms and Condition. Any changes to the Terms will be effective on a going forward basis.
The easidesi platform shall not be liable for failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by matters beyond our reasonable control including but not limited to destruction arising out of war, rebellion, civil commotion, strikes, lockouts and industrial disputes, fire, explosion, earthquake, pandemics, epidemics, government action and/or other seismic activity, acts of God, flood, drought or bad weather. Notice of these circumstances shall be given to the user immediately. The easidesi platform if suffering from Force Majeure shall take sufficient measures to eliminate impact and reduce losses caused by Force Majeure.
Languages - The English version of this Agreement will be the binding version and all communications, notices, arbitrations and other actions and proceedings relating to this Agreement will be made and conducted in English, even if we choose to provide translations of this Agreement into the native languages in certain countries. To the extent allowed by law, any inconsistencies among the different translations will be resolved in favor of the English version.
Assignment - No terms of this Agreement, nor any right, obligation, or remedy hereunder is assignable, transferable, delegable, or sublicensable by you except with Easidesi Technology Limited’s prior written consent, and any attempted assignment, transfer, delegation, or sublicense shall be null and void. Easidesi Technology Limited may assign, transfer, or delegate this Agreement or any right or obligation or remedy hereunder in its sole discretion.
Waiver - Our failure to assert a right or provision under this Agreement will not constitute a waiver of such right or provision.
Headings - Any heading, caption, or section title contained is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
Further Assurances - You agree to execute a hard copy of this Agreement and any other documents, and take any actions at our expense that we may request to confirm and effect the intent of this Agreement and any of your rights or obligations under this Agreement.
Entire Agreement and Severability - This Agreement supersedes all prior terms, agreements, discussions and writings regarding the easidesi platform and constitutes the entire agreement between you and us regarding the easidesi platform. If any part of this Agreement is found to be unenforceable, then that part will not affect the enforceability of the remaining parts of the Agreement, which will remain in full force and effect.
Survival - The following provisions will survive expiration or termination of this Agreement: Section 7 (Warranty Disclaimer), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 10 (Trademark Information), Section 11 (Governing Law and Jurisdiction), Section 12(Dispute Resolution), Section 15 (Restrictions of Use) and Section 20 (Miscellaneous).
